Meta Creates Non-Voting Stock Class to Fuel AI Expansion

To sustain its aggressive push into artificial intelligence, Meta is introducing a new class of non-voting shares starting in 2027. The move aims to provide the company with additional financial flexibility for strategic acquisitions, employee compensation, and the massive infrastructure requirements needed to remain competitive in a rapidly evolving sector.

CFO Susan Li framed the decision as a necessary step to capitalize on the momentum currently driving every facet of the company’s business. This capital infusion arrives as Meta faces ballooning costs; the firm now projects 2024 capital expenditures to reach between $135 billion and $145 billion, escalating from previous estimates. These funds support sprawling data centers, the recruitment of elite engineering talent, and the development of large-scale models.

While the financial strategy shifts, product adoption remains high. The AI agent Muse, launched in September, surpassed 10 million downloads in the U.S. this week. However, the rapid rollout has encountered friction. Reports emerged of the agent inadvertently disclosing private addresses to strangers on Facebook Marketplace, forcing the company to suspend its conversation-sharing feature following discovery of public chat logs on the web.
